The contract terms, service policies, and client commitments that govern all BW Promo digital marketing engagements.
Agreement to Terms
By engaging BW Promo for any digital marketing, social media management, website management, or SEO service, you agree to these Terms & Conditions. Together with your signed proposal, service agreement, and invoice, these terms form the complete contract between BW Promo and the client.
Services & Scope of Work
BW Promo provides digital marketing, social media management, website management, and SEO services. The specific deliverables, platforms, timelines, and reporting cadence for each engagement are defined in your written proposal and invoice. Any work outside that stated scope requires a written change order and may adjust fees and timelines accordingly.
Contract Term & Renewals
Monthly retainer agreements begin on the start date confirmed in your invoice and continue on a month-to-month basis unless a longer term is agreed in writing. Retainers renew automatically at the start of each billing cycle. Either party may cancel by providing written notice at least 30 days before the next cycle to avoid charges for that cycle.
Fees, Billing & Payment
Pricing is customized for each client and confirmed with a formal, itemized invoice before work begins. Monthly retainers are billed in advance; one-time projects may be billed in milestones or in full. Invoices are due within 7 days of issue unless stated otherwise. Late payments may pause active work and may incur a late fee of 1.5% per month on the outstanding balance. Third-party costs such as advertising spend, software, and platform subscriptions are billed separately and are not included in service fees.
Client Responsibilities
The client agrees to provide timely access to accounts, brand assets, content, and approvals, and to supply accurate information about their business and goals. Delays in providing materials, feedback, or approvals may extend agreed timelines. The client confirms they hold the rights to any content, logos, or materials they supply to BW Promo.
Intellectual Property & Ownership
Upon full payment, the client owns the final deliverables created specifically for them, such as approved content, creative assets, and reports. BW Promo retains ownership of its underlying methodologies, templates, tools, processes, and pre-existing materials, which may be reused across engagements. BW Promo may showcase completed work in its portfolio and marketing unless the client requests otherwise in writing.
Confidentiality
Both parties agree to keep confidential any non-public business, financial, or strategic information shared during the engagement. This obligation continues after the agreement ends. Confidential information does not include information that is publicly available or independently developed without reference to the other party's disclosures.
Third-Party Platforms & Results
Campaigns and websites operate on third-party platforms such as Google, Meta, and search engines, whose policies, algorithms, and availability are outside our control. BW Promo does not guarantee specific rankings, traffic volumes, lead counts, or revenue outcomes. We commit to industry best practices, transparent reporting, and continuous optimization toward the goals agreed in your strategy.
Limitation of Liability
To the maximum extent permitted by law, BW Promo's total liability under any engagement is limited to the total service fees paid by the client in the three months preceding the claim. BW Promo is not liable for indirect, incidental, or consequential damages, including lost profits, lost data, or business interruption.
Termination
Either party may terminate the agreement for material breach that remains uncured 14 days after written notice. On termination, the client is responsible for fees for all work performed and third-party costs incurred up to the termination date. Refunds are handled in accordance with the Refund Policy published on this website.
Independent Contractor
BW Promo acts as an independent contractor. Nothing in this agreement creates an employment, partnership, joint venture, or agency relationship between BW Promo and the client beyond the services described in the engagement.
Governing Law & Dispute Resolution
These terms are governed by the laws of the State of California, United States. The parties agree to first attempt to resolve any dispute through good-faith negotiation, and if unresolved, through mediation in California before pursuing any other remedy.
Changes to These Terms
BW Promo may update these Terms & Conditions from time to time. The version published on this website at the time of your engagement governs that engagement. Continued use of our services after an update constitutes acceptance of the revised terms.
